Notes to the Capital Verification

一、 基本情况 I. General

贵公司经西安经济技术开发区管理委员西经开发[2005]382号文件批准设立，由西安市人民政府于2005年11月29日颁发商外资西府经外字[2005]0032号中华人民共和国外商投资企业批准证书，由宝鸡钛业股份有限公司、常州法力诺长城焊管有限公司、法国Valtimet公司、美国Timet Asia,Inc.公司共同出资组建。2006年1月4日取得西安市工商行政管理局颁发的企合陕西安总副字第002302号企业法人营业执照，注册资本600万美元，实收资本600万美元。根据西经开发（2008）233号文件批复，申请增加注册资本（实收资本）280万美元，变更后的注册资本（实收资本）为880万美元。新增注册资本由原股东按原出资比例认缴。

Your Company was established by the approval of Xijingkaifa [2005] No. 382 document of the Administration Committee of Xi’an Economic & Technological Development Zone and the Certificate of Approval on Establishment of Enterprises with Foreign Investment in the People’s Republic of China with Circular No.0032 of File of Shangwaiixifujingwaizi (2005) promulgated by Xi’an Municipality on November 29, 2005. It was co-invested by Baoji Titanium Industry Co., Ltd., Changzhou Valinox Great Wall Welded Tubes Co., Ltd., Valtimet and Timet Asia, Inc. It was granted Corporate Business License with the registered capital of US$6 million and paid-in capital by Xi’an Municipal Bureau of Industry and Commerce Administration in accordance with Document of Qiheshaanxizongfuzi No.002302 on January 4, 2006. Under the approval of Document Xijingkaifa 2008 No. 233 by Xi'an Economy and Technology Development Zone, it has applied to increase the registered capital/paid-in capital by US$ 2.8 million, which is changed to US$ 8.8 million. The incremental registered capital will be proportionally subscribed by the former shareholders.

二、 新增注册资本及出资规定

II. Provision on incremental registered capital and financial contribution

根据西经开发（2008）233号文件《关于西安宝钛美特法力诺焊管有限公司注册资本增加事项的批复》，申请增加注册资本280万美元,实收资本280万美元。其中：宝鸡钛业股份有限公司以折合112万美元的人民币出资，占新增注册资本40%；常州法力诺长城焊管有限公司以折合81.2万美元的人民币出资，占新增注册资本29%；法国Valtimet公司以56万美元的现汇出资，占新增注册资本的20%；美国Timet Asia,Inc.公司以30.8万美元的现汇出资，占新增注册资本的11%。新增注册资本应于营业执照变更登记之日起10日内足额缴付。

According to Reply on Registered Capital Increase for Baoji Titanium Industry Co., Ltd. by Xi'an Economy and Technological Development Zone, both incremental registered and paid-in capital are respectively US$ 2.8 million and US$ 8.8 million. Baoji Titanium Industry Co., Ltd., has contributed US$ 1.12 million equivalence, accounting for 40% of the incremental registered capital, Changzhou Valinox Great Wall Welded Tubes Co., Ltd. contributed US$ 812,000 in RMB accounting for 29% of the total increased registered capital. Valtimet and Timet Asia, Inc with spot exchange of US$ 560,000, accounted for 20% of the total newly added registered capital; and US$ 308,000 was contributed by Valtimet and Timet Asia, Inc on its own. The incremental registered capital should be paid with sufficient fund within 10 days since the date of alternation registration of the Cooperate Business License.

截至2008年7月21日止，贵公司已收到全体股东缴纳的新增注册资本（实收资本）合计280万美元。

ByJuly 21, 2008, your company had received the incremental registered capital/paid-in capital of US$ 2.8 million by all shareholders.

（一）宝鸡钛业股份有限公司实际缴纳出资额112万美元。其中：2008年7月15日缴存贵公司在上海浦东发展银行西安分行营业部开立的人民币账户72010155300000266账号人民币764.176万元,折合112万美元，折合汇率为1：6.8230。

(I) Baoji Titanium Industry Co., Ltd has actually contributed US$ 1.12 million. On July 15,

2008, your company has opened RMB account deposits as RMB 7.64176 million Yuan to convert into US$ 1.12 million with the account number of 72010155300000266 and exchange rate of 1: 6.8230 in Xi’an Branch of Shanghai Pudong Development Bank.

（二）常州法力诺长城焊管有限公司实际缴纳出资额81.2万美元。其中：2008年7月17日缴存贵公司在上海浦东发展银行西安分行营业部开立的人民币账户72010155300000266账号人民币553.69468万元,折合81.2万美元，折合汇率为1：6.8189。

(II) Changzhou Valinox Great Wall Welded Tubes Co., Ltd. has actually contributed US$ 1.12 million. Your company has opened RMB account deposits RMB 5.5369468 million Yuan equivalent to US$ 0.812 million with account number of 72010155300000266 and exchange rate of 1: 6.8189 in Xi’an Branch of Shanghai Pudong Development Bank on July 17,

2008.

（三）法国Valtimet公司实际缴纳出资额56万美元。其中：2008年7月21日缴存贵公司在上海浦东发展银行西安分行营业部开立的资本金账户72011455300000211账号56万美元。

(III) Valtimet has actually contributed US$ 560,000. Your company has opened capital fund account deposits of US$ 560,000 with the account number of 72011455300000211 in Xi’an Branch of Shanghai Pudong Development Bank on July 21, 2008.

（四）美国Timet Asia,Inc.公司实际缴纳出资额30.8万美元。其中：2008年7月21日分两次缴存贵公司在上海浦东发展银行西安分行营业部开立的资本金账户72011455300000211账号30.8025万元，超过认缴实收资本的25美元作为其他应付款。

(IV) Timet Asia,Inc. has actually contributed US$ 308,000. Your company has opened the capital fund account deposits of US$ 308,025 in two times with the account number of 72011455300000211 in Xi’an Branch of Shanghai Pudong Development Bank. It exceeds the paid-up capital of US$ 25 for other payables on July 21, 2008.

五）变更后累计实收资本为880万美元，占变更后注册资本的100%。其中：宝鸡钛业股份有限公司出资352万美元，占注册资本的40%；常州法力诺长城焊管有限公司出资255.2万美元，占注册资本的29%；法国Valtimet公司出资176万美元，占注册资本的20%；美国Timet Asia,Inc.公司出资96.8万美元，占注册资本的11%。

(V) The paid-up capital totals US$ 2.8 million after alteration, accounting for 100% of altered amount. Baoji Titanium Industry Co., Ltd. has contributed US$ 3.52 million amounting to 40% of registered capital, US$ 2.552 million funded by Changzhou Valinox Great Wall Welded Tubes Co., Ltd. about 29%, and US$ 0.968 million by Timet Asia,Inc. about 29%.

四、其他事项 IV. Other matters

（一）美国Timet Asia,Inc.公司缴存贵公司在上海浦东发展银行西安分行营业部开立的资本金账户72011455300000211账号30.8025万元，系由其母公司代为汇入；

(I) The contribution of US$ 308,025 funded by Timet Asia, Inc for your company has been transferred by its parent company.

（二）我们已就西安宝钛美特法力诺焊管有限公司本次增资情况向国家外汇管

理局陕西省分局发函询证，并收到该局2008年7月31日出具的编号为08161的外方出资情况询证函回函。

(II) Under the receipt of Reply to Letter of Confirmation on Foreign Contribution (Circular No. 08161) on July, 31, 2008, we have informed Shaanxi Branch of the State Administration of Foreign Exchange under our confirmation in terms of the incremental registered capital of Baoji Titanium Industry Co., Ltd.
